1. Introduction

These Terms of Service ("Terms") govern your access to and use of the ShipSlip platform, website, and services (collectively, the "Services") operated by ShipSlip, a Florida-based company operating in the United States ("ShipSlip," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms.

2. Description of Services

ShipSlip provides a software platform and managed services that may include:

  • Identifying late or potentially refund-eligible shipments
  • Submitting shipping refund claims on your behalf
  • Providing shipment, invoice, and refund reporting
  • Automation tools related to carrier invoice auditing

Services are provided on a best-effort basis only. Refunds are not guaranteed.

3. No Carrier Affiliation

ShipSlip is not affiliated with, endorsed by, or sponsored by any shipping carrier, including FedEx or UPS. All carrier names and trademarks remain the property of their respective owners.

4. Account Registration

You must create an account to use certain features of the Services. You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your login credentials
  • Accept responsibility for all activity under your account

We may suspend or terminate accounts for non-payment, misuse, fraud, or violation of these Terms.

5. Authorization to Act on Your Behalf

By using the Services, you authorize ShipSlip to:

  • Access shipment, invoice, and tracking data
  • Communicate with carriers on your behalf
  • Submit refund or adjustment requests using your data

You represent that you have full authority to grant this authorization.

6. Fees & Payment

6.1 Refund Disbursement

All refunds are credited directly by the applicable carrier to your carrier account. ShipSlip does not take possession or control of recovered funds at any time.

6.2 Commission Structure

ShipSlip charges a commission on successfully recovered refunds. The applicable commission rate is determined by your annual shipping spend tier. ShipSlip may modify commission rates upon thirty (30) days' written notice. Continued use of the Services constitutes acceptance of the updated pricing. You pay nothing unless a refund is recovered on your behalf.

6.3 Billing Cycle

Commissions are calculated monthly based on refunds recovered during the prior billing period. Your payment method on file will be charged automatically during the first week of each calendar month for the prior month's commissions. You authorize ShipSlip to charge your payment method on file for all amounts due.

6.4 Late Payments

Payments not received within 7 days of the invoice date are considered late. Late payments shall accrue interest at the rate of 1.5% per month (18% annually), or the maximum rate permitted by Florida law, whichever is less, calculated from the due date until the date of payment in full. ShipSlip reserves the right to suspend access to the Services for any account with outstanding unpaid balances.

6.5 Payment Method

You agree to maintain a valid payment method on file at all times. If a charge is declined or a payment method expires, you are responsible for updating your billing information promptly. ShipSlip may retry failed charges and will notify you of any payment failures.

6.6 Non-Refundable Fees

All commissions earned and charged are non-refundable. You may cancel your account at any time; however, commissions earned prior to cancellation remain due and payable.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SHIPSLIP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Data Security & Confidentiality

ShipSlip will implement commercially reasonable administrative, technical, and physical safeguards to protect customer data against unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet or electronic storage is completely secure. ShipSlip cannot guarantee absolute data security and shall not be liable for unauthorized access beyond its reasonable control.

9. Chargeback / Disputed Payments

If you initiate a chargeback or payment dispute for valid amounts owed under these Terms, ShipSlip reserves the right to immediately suspend access to the Services and recover reasonable dispute-related costs, including any fees charged by financial institutions or payment processors in connection with the dispute. Accounts subject to an unresolved chargeback may not be reinstated until the disputed amount is paid in full.

10. Carrier Program Changes

ShipSlip is not responsible for changes in carrier policies, service guarantees, or refund eligibility rules. Carrier programs, guaranteed delivery commitments, and claim filing windows are subject to change at any time at the sole discretion of the applicable carrier. ShipSlip makes no representation that current refund eligibility rules will remain in effect for any period of time.

11. Customer Data Ownership

You retain full ownership of your shipment and invoice data. You grant ShipSlip a limited license to use this data solely to provide the Services.

12. Customer Responsibilities

You are responsible for:

  • Accuracy of all data provided
  • Compliance with carrier terms and policies
  • Maintaining required carrier account permissions

ShipSlip is not responsible for denied claims due to incorrect or incomplete data.

13. No Guarantees

ShipSlip does not guarantee:

  • That any shipment will qualify for a refund
  • That any refund claim will be approved
  • Any specific recovery amount or percentage

Carrier decisions are final.

14. Limitation of Liability

To the maximum extent permitted by law:

  • ShipSlip's total liability shall not exceed the fees paid by you in the preceding 12 months
  • ShipSlip shall not be liable for indirect, incidental, or consequential damages

15. Indemnification

You agree to indemnify and hold harmless ShipSlip from claims arising out of:

  • Data you provide
  • Unauthorized use of the Services
  • Violation of these Terms

16. Termination

We may suspend or terminate access immediately for violations, non-payment, or legal risk. Upon termination, access to the Services will cease.

17. Dispute Resolution

All disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in the State of Florida. You waive the right to participate in class actions.

18. Modification of Terms

ShipSlip may update these Terms from time to time. Material changes will be communicated via the Services or by email. Continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.

19. Survival

Sections relating to Fees & Payment, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and Survival shall survive termination of these Terms.

20. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
